1. About EUActReady

EUActReady is an online compliance tool operated by EUActReady Ltd. ("we", "us", "our"). We provide automated EU AI Act and GDPR compliance assessment services, document generation, and related resources to businesses and individuals ("you", "your").

By accessing or using the EUActReady platform, website, or any related services (collectively, the "Service"), you agree to be bound by these Terms of Use. If you do not agree, please discontinue use immediately.

2. Not Legal Advice

The Service provides general compliance information and automated documentation based on information you supply and publicly available EU regulatory guidance. Nothing on this platform constitutes legal advice. The outputs generated by EUActReady are not a substitute for professional legal counsel and should be reviewed by a qualified lawyer or compliance specialist before being relied upon in any formal audit, regulatory submission, or legal proceeding.

We make no representations or warranties that the documents generated will satisfy any particular regulatory requirement or be accepted by any regulatory authority.

3. Eligibility

You must be at least 18 years of age and have the legal authority to bind yourself or the organisation on whose behalf you use the Service. By using the Service you represent that you meet these requirements.

4. Account Registration

To access certain features you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@euactready.ie if you suspect any unauthorised use.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable law;
• Attempt to gain unauthorised access to any part of the Service or its infrastructure;
• Reverse engineer, decompile, or disassemble any part of the Service;
• Reproduce, distribute, or sell content from the Service without our prior written consent;
• Submit false or misleading information through the assessment questionnaire;
• Use the Service to infringe the intellectual property rights of any third party.

6. Subscription and Payment

Paid plans are billed in advance on a monthly or annual basis. All fees are stated exclusive of VAT unless otherwise specified. VAT will be applied at the rate applicable to your jurisdiction.

You may cancel your subscription at any time via your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a paid term except where required by applicable law.

We reserve the right to change pricing upon 30 days' notice. Continued use after the effective date constitutes acceptance of the new pricing.

7. Intellectual Property

All content, software, trademarks, and materials on the Service are owned by or licensed to EUActReady Ltd. and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal compliance purposes only.

Documents generated through your use of the Service may be used by you for your own compliance purposes. You retain ownership of the input data you provide.

8. Data and Privacy

Our collection and use of personal data is governed by our Privacy Policy and Cookie Policy, which form part of these Terms.

9. Limitation of Liability

To the fullest extent permitted by law, EUActReady Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you in connection with these Terms or the Service shall not exceed the amounts paid by you (if any) to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless EUActReady Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Modifications to the Service and Terms

We may update the Service or these Terms at any time. We will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by notifying registered users by email. Continued use after the effective date of any change constitutes your acceptance.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, at our sole discretion. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitation of liability, indemnification, and dispute resolution) shall survive.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland.
